| Initial public offering of 6,986,301 equity shares of face value of Rs. 5 each ("Equity shares") of Sheela Foam Limited ("The Company") for cash at a price of Rs. 730 per equity share (the "Offer price"), aggregating up to Rs. 510 Crores (The "Offer") through an offer for sale of up to 6,986,301 equity shares aggregating up to Rs. 510 Crores by Polyflex Marketing Private Limited (the "Selling Shareholder" and such equity shares being the "Offered shares").
